Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the services, support, software, and websites (collectively, the “Services”) provided by IMEDIA IT SOLUTIONS INC. (“we,” “us,” or “our”).
By engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Scope of Services

IMEDIA IT SOLUTIONS INC. provides managed IT, consulting, and support services to businesses, including but not limited to:

Network and infrastructure support

Cloud and endpoint management

Cybersecurity, monitoring, and maintenance

Help desk and remote support

Software installation, updates, and license management

Specific deliverables and service levels may be defined in a separate Service Agreement or Statement of Work (SOW).

3. Client Responsibilities

To ensure effective delivery of Services, you agree to:

Provide timely access to systems, credentials, and information required to perform services.

Maintain accurate contact information for authorized representatives and users.

Use our Services only for lawful business purposes.

Notify us immediately of any security incidents, unauthorized access, or system issues.

You are responsible for maintaining your own data backups unless a separate written agreement specifies that we manage backup services.

4. Confidentiality

We treat all customer information as confidential and will not disclose it to third parties except:

As required to deliver the Services;

As authorized in writing by the Client; or

As required by law or regulation.

All personnel and subcontractors of IMEDIA IT SOLUTIONS INC. are bound by confidentiality and data protection obligations.

5. Data Privacy

We collect and process limited personal and business data strictly for the purpose of providing IT services and support.
Our data handling practices are described in our [Privacy Policy], which forms part of these Terms.
By using our Services, you consent to our data practices as outlined in that policy.

6. Fees and Payment

Unless otherwise agreed in writing:

Fees are billed as specified in your Service Agreement or invoice.

Payment is due within the terms stated on the invoice.

Late payments may result in suspension of services until the account is current.

Travel or onsite visits outside normal service areas may incur additional charges.

All fees are exclusive of taxes, which will be billed where applicable.

7. Service Availability and Limitations

While we make every reasonable effort to provide reliable and continuous service, we cannot guarantee uninterrupted availability.
We are not liable for downtime caused by factors outside our control, including:

Internet or third-party provider outages;

Hardware or software malfunctions not under our management;

Force majeure events (natural disasters, war, strikes, etc.).

8. Security and Access

We employ industry-standard security measures to protect client systems and data.
Clients are responsible for ensuring their own systems, users, and passwords comply with reasonable security practices.
We may request administrative access as necessary to perform services; such access will be used solely for support and maintenance purposes.

9. Limitation of Liability

To the maximum extent permitted by law:

IMEDIA IT SOLUTIONS INC. shall not be liable for any indirect, incidental, consequential, or special damages (including loss of business, profits, or data).

Our total liability under any claim shall not exceed the total amount paid by the Client for the Services during the previous twelve (12) months.

These limitations apply regardless of the cause of action, whether in contract, tort, or otherwise.

10. Indemnification

You agree to indemnify and hold harmless IMEDIA IT SOLUTIONS INC. and its officers, employees, and agents from any claims, damages, or losses arising out of:

Your misuse of the Services;

Breach of these Terms; or

Violation of applicable laws or third-party rights.

11. Termination

Either party may terminate the Services:

With written notice per the terms of the applicable Service Agreement; or

Immediately, if the other party materially breaches these Terms and fails to cure the breach within a reasonable period.

Upon termination, all outstanding fees become due, and we may revoke access to our systems or tools.

12. Intellectual Property

All intellectual property, documentation, software, scripts, or tools developed or provided by IMEDIA IT SOLUTIONS INC. remain our sole property unless otherwise agreed in writing.
Clients retain ownership of their data and systems.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
Any disputes shall be resolved in the courts located in Los Angeles County, California.

14. Changes to These Terms

We may modify these Terms from time to time to reflect updates to our services, business, or legal requirements.
Updated versions will be posted on our website and take effect upon posting.
